PRIMERO: Antecedentes.

  1. Power English SpA es una institución que presta servicios de educación y clases online de inglés, asesorías personales, grupales e institucionales, y a distancia, cuyo objetivo es maximizar el conocimiento, proponiendo una metodología de formación y perfeccionamiento pedagógico en dicho idioma, ofreciendo seminarios, charlas, clases, talleres a disposición de sus alumnos.

  1. Los Servicios de clases online implican la entrega de variados conocimientos para sus estudiantes, generando distintas funciones de control, supervisión y asesoramiento, ya sea a personas naturales o jurídicas que contraten sus servicios en el ámbito que se desenvuelve POWER ENGLISH SPA. 

  • Los Servicios de educación a distancia implican cualquier sistema de enseñanza y aprendizaje que desarrolla el/los estudiantes sin estar presente en el aula física. Siendo este sistema de manera bidireccional entre el profesor y el alumno.

  • Los Servicios de seminarios, charlas y talleres implican la entrega de variados conocimientos que se desarrollan en aula a distancia, en los tiempos estimados por Power English SpA.

SEGUNDO: Objeto del Contrato.

2.1. Por el presente instrumento, Power English SpA, debidamente representada en la forma señalada en la comparecencia, encarga al docente, quien en este acto acepta el encargo, consistente en el servicio de PROFESOR DE INGLÉS, que consiste en la prestación de los siguientes servicios, (en adelante, los “Servicios Contratados”):

  • Entregar la enseñanza correspondiente con su cargo pedagógico a los alumnos de Power English SpA
  • Realizar labores propias del ejercicio pedagógico
  • Realizar entrevistas a los estudiantes de la comunidad de Power English SpA.
  • Asistir a reuniones con directivos y miembros de la fundación en caso de ser necesario, siendo esto de manera presencial o telemática.
  • Cualquier otro servicio que sea inherente y diga relación cargo que se desempeña.

TERCERO: Forma de prestación de los Servicios Contratados.

Las Partes acuerdan que los Servicios Contratados se presentan de la siguiente forma:

3.1. El Mandatario se obliga a mantener, durante la vigencia del presente Contrato, una disposición permanente para cumplir en los tiempos convenidos con los Servicios Contratados y también con aquellas que se generen en situaciones excepcionales o períodos de mayor actividad comercial.

3.2. El Mandatario se compromete a prestar los Servicios Contratados con el objeto de prestar un óptimo y eficiente servicio de PROFESOR, con el debido cuidado en relación con servicios prestados objeto del contrato. Así, se obliga a desarrollar todas las gestiones y trabajos correspondientes para el correcto desempeño de sus funciones.

3.3. El Mandatario prestará los Servicios Contratados cumpliendo los plazos señalados por Power English SpA en su encargo. En caso de no haberse mencionado plazos por Power English SpA en su encargo, el Mandatario se obliga a prestar los Servicios Contratados en el menor tiempo posible guardando los estándares de calidad habitualmente observados y requeridos por el Mandante de la prestación de servicios.

3.4. Los gastos en que se incurra en la prestación de los Servicios Contratados serán de cargo de Power English SpA, quien deberá proveer los fondos necesarios a el Mandatario en forma anticipada – o bien el Mandatario podrá rendir cuentas luego de cada período arrendado y pedir que se le restituyan los fondos, a su elección.

CUARTO: Precio.

4.1. El precio del presente Contrato será acordado con el profesor respectivo en la moneda que sea más preferible para Power English. El pago es por Hora cronológica efectivamente realizada, conforme y de acuerdo con las partes, computadas por ciclos mensuales hasta el día 25 de cada mes.

4.2. Adicionalmente, las Partes podrán acordar compensaciones variables adicionales, relacionadas a proyectos específicos que se desarrollen en virtud de las gestiones realizadas por el Mandatario. El monto y la forma de pago de dicha compensación variable se estipulará por las Partes, debiendo dejar constancia por escrito. Las compensaciones variables considerarán especialmente en base al tiempo dedicado a cada una de las gestiones realizadas.

4.3. Cualquiera de las partes confeccionará la Boleta de Honorarios o la Boleta de Servicios de Terceros, y se emitirá mensualmente el documento tributario correspondiente, por ciclos de 30 días vencidos. El precio se pagará con la emisión de la boleta respectiva dentro de los 5 días del mes siguiente en las oficinas del empleador o mediante cheque o depósito en la cuenta corriente del trabajador. Todo lo anterior en caso de cualquier atraso quedará para el siguiente ciclo.

4.4. La Boleta de Honorarios o la Boleta de servicio a terceros, deberá contar con el detalle de las horas cumplidas de forma efectiva de la siguiente manera:

  • Clases ilimitadas     – N° de horas:  (Clases ilimitadas 1 hora)
  • Clases particulares – N° de  horas: (Clases particulares 1 hora 30 minutos). 

La boleta de honorarios deberá ser emitida a partir del día 25  del mes en curso, esto con el fin de agilizar los procedimientos administrativos correspondientes.

4.5Las partes acuerdan que el pago de honorarios por los servicios proporcionados por el instructor de idiomas estará sujeto a un proceso de liquidación que dependerá de la fecha en que se reciban las facturas.

Con el fin de garantizar que los pagos de honorarios se realicen el último día hábil del mes correspondiente, todas las facturas deben ser emitidas y enviadas el día 25 del mes en curso.

Cualquier factura de honorarios emitida o enviada después de dicho día, será remunerada el viernes siguiente a la fecha de emisión.

QUINTO: Duración y Terminación Anticipada.

El presente Contrato comenzará a regir a contar desde esta fecha y tendrá una duración indefinida y cualquiera de las Partes podrá ponerle término mediante aviso escrito con una anticipación de al menos tres semanas.

SEXTO: Relación contractual.

Las Partes declaran que la prestación de los servicios que por el presente acto se contratan, no implican la existencia de una relación laboral en los términos definidos por el Código del Trabajo. Los servicios precedentemente convenidos serán prestados por el Mandatario, sin que exista vínculo de subordinación ni dependencia alguna, ya sea de horario, jerarquía o cualquier otro aspecto propio de la relación laboral.

SÉPTIMO: Confidencialidad

7.1. Las Partes acuerdan expresamente que toda información sea escrita, oral, o electrónica que intercambien o divulguen con relación al proceso de análisis tendiente a las cuentas que usará el Mandatario o cualquier información tendrá el carácter de confidencial, salvo que las Partes, no le atribuyan tal carácter de confidencialidad. La existencia y términos de este Convenio y los hechos, discusiones y correspondencia entre las Partes con relación al Proyecto también se consideran confidenciales.

7.2. Las Partes, asimismo, expresamente acuerdan que el objetivo de este convenio es darle la protección apropiada a la Información que se intercambie o revele.

Las Partes tratarán la Información Confidencial que les sea revelada por la otra parte con igual cuidado y atención con la que tratan su propia Información Confidencial.

7.3. La obligación de confidencialidad que asumen las partes por este documento importa

la absoluta prohibición de dar a conocer a terceros de cualquier Información  intercambiada o revelada. Salvo dentro del marco de una negociación. Además, cada parte se compromete a que la información podrá ser conocida y manejada únicamente por personal, ejecutivos y/o consultores, según sea el caso, que hayan asumido o asuman

obligación de confidencialidad en similares condiciones a las contenidas en este documento.

7.4. Toda información confidencial recibida deberá ser exclusivamente para cumplir el objeto del Acuerdo y será resguardada como Información Confidencial. En este sentido, se consideran obligaciones del interesado las siguientes:

a. No divulgar en ninguna forma el todo o parte de la Información Confidencial proporcionada a éste a ningún tercero, sea persona natural o jurídica.

b. No publicar ni permitir la publicación del todo o parte de la Información Confidencial proporcionada.

c. No reproducir la información objeto del presente acuerdo, sea en formato físico o digital, salva autorización expresa del Gerente General de Power English Spa.

d. En general, a proporcionar todos los medios que estén a su alcance para impedir cualquier forma de divulgación de la Información Confidencial proporcionada.

Para efectos de las claves y cuentas asociadas a POWER ENGLISH SPA o a don RAUL IGNACIO MORENO BURGOS, se entenderá por “divulgación” de la Información Confidencial, el hecho de ponerla en conocimiento de terceros o del público en general, distintos a aquellas personas autorizadas para tomar conocimiento y utilizar la Información estrictamente para los fines objeto del Acuerdo.

7.5. Por tanto, el receptor sólo puede revelar la Información Confidencial solamente a aquellos empleados y asesores que, en razón de la naturaleza de sus funciones y su participación en el proyecto, la requieran para cumplir el objeto de este Acuerdo, en adelante “Colaboradores Autorizados”, los cuales tratarán la Información Confidencial como si fuese información confidencial de su propia empresa.

7.6. La revelación de Información Confidencial no importará la concesión de derecho o licencia alguna al interesado respecto de la Información Confidencial o para el uso de cualquier marca, derecho de autor o patente, y cualquier otro derecho de propiedad intelectual o industrial sobre dicha información o bien sobre cualquier otra que se encuentre bajo control del estudio jurídico en relación al proyecto.

7.7. En caso de incumplimiento de las obligaciones establecidas en este contrato, el Receptor se obliga a pagar al interesado todos los perjuicios, directos e indirectos, previstos e imprevistos derivados de la falta cometida y en particular de los que digan relación con la imposibilidad de pedir patentes u otros derechos de propiedad intelectual, futuras adjudicaciones de contratos, potenciales ventas del establecimiento de comercio o de los bienes que lo componen por separado.

7.8. La falta de ejercicio de las facultades o derechos otorgados a las partes por este Acuerdo o por la ley, o el retardo en su ejercicio no podrán interpretarse como una renuncia a tales facultades o derechos.

OCTAVO: Fuerza Mayor.

8.1. No incurrirá en mora de cumplir lo pactado la parte que se encontrará impedida de hacerlo debido a un caso fortuito o fuerza mayor, en los términos previstos en la legislación vigente. En el caso de que una de las Partes no pueda cumplir con sus obligaciones invocando como causa la ocurrencia de un evento de caso fortuito o fuerza mayor, deberá notificar inmediatamente este hecho a la otra parte, a más tardar dentro de 24 horas desde el momento en que la parte afectada toma conocimiento de la situación de caso fortuito o fuerza mayor, explicando la naturaleza y entidad de este.

8.2. La parte afectada por situaciones de caso fortuito o fuerza mayor deberá tomar todas las medidas razonables para mitigar los efectos de la misma y reasumir prontamente el cumplimiento de sus obligaciones. Los mayores costos incurridos para restablecer el cumplimiento de las obligaciones suspendidas debido a caso fortuito o fuerza mayor serán de cargo exclusivo de aquella parte que debe cumplir con la obligación respectiva.

8.3. Mientras un contratante se encontrare impedido de cumplir debido a caso fortuito o fuerza mayor, la contraparte no estará obligada, a su turno, a cumplir sus obligaciones correlativas, esto con excepción de las obligaciones de pago.

NOVENO: Modificaciones y Renuncia de Derechos.

9.1 Este Contrato no podrá ser modificado o alterado, salvo que medie el consentimiento escrito de las Partes.

9.2. Ninguna renuncia de cualquier cláusula de este Contrato o derechos contenidos en éste surtirá efectos, sin el consentimiento previo y por escrito de ambas Partes.

DÉCIMO: Nulidad.

La nulidad de alguna de las cláusulas del presente Contrato no invalida a las otras cláusulas del mismo y en tal caso el Contrato deberá interpretarse con omisión de dichas cláusulas nulas.

DÉCIMO PRIMERO: Sobre La Relación Contractual De Un Estudiante De Power English Y El Profesor.

11.1 Contrataciones: Un profesor no puede ser contratado por un cliente de Power English que haya pagado dentro de 12 meses. 

DÉCIMO SEGUNDO: Misceláneos.

12.1. Comunicaciones: Toda comunicación o aviso establecida o permitida en el Contrato y que, en virtud del mismo, no tenga señalada una forma especial de envió, deberá ser efectuada por carta certificada dirigida al domicilio del destinatario que se indica a continuación:

En caso de que alguna de las Partes, durante la vigencia del Contrato cambie su domicilio y/o la persona a quien se deben dirigir las comunicaciones, ella deberá comunicar por escrito, por cualquier medio idóneo, a la otra parte de su nuevo domicilio y/o de la persona a quien se deben dirigir las comunicaciones en el futuro.

12.2. Gastos: Todos los gastos derivados del presente Contrato serán de cargo de Fundación Arché Centro de Investigación y Formación Antroposófica.

12.3. Domicilio: Para todos los efectos legales derivados del presente instrumento, las Partes fijan su domicilio en el que cada una de ellas indica en la comparecencia de este instrumento.

12.4 Ley aplicable: El presente Contrato queda sometido a las leyes de la República de Chile.

12.5. Ejemplares: El presente Contrato se otorga en 2 ejemplares de igual fecha y tenor, quedando uno en poder de cada Parte.

 Por tanto:

EN PRUEBA DE CONFORMIDAD, El profesor declara estar de acuerdo con estos términos de servicios al crear un usuario con la membresía nominada, «Teachers» en la plataforma de PowerEnglish.cl

 

DÉCIMO TERCERO: Sobre el pago de la asistencia de las clases particulares.

13.1. Power English Spa no pagará horas extras hechas a los estudiantes particulares más allá del paquete comprado por el estudiante. Es responsabilidad del profesor de mantener la asistencia actualizada en tiempo real.

You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.
 
Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms of Use, and you waive any right to receive specific notice of each such change. Please ensure that you check the applicable Terms every time you use our Site so that you understand which Terms apply. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Site after the date such revised Terms of Use are posted.
 
The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

2. INTELLECTUAL PROPERTY RIGHTS

of Use, no part of the Site and no Content or Marks may be copied, reproduced,
aggregated, republished, uploaded, posted, publicly displayed, encoded,
translated, transmitted, distributed, sold, licensed, or otherwise exploited
for any commercial purpose whatsoever, without our express prior written

Provided that you are eligible to use the Site, you are
granted a limited license to access and use the Site and to download or print a

3.USER REPRESENTATIONS

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).
 
 
4.USER REGISTRATION

 

You may be required to register with the Site. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

 

 
 
5.PROHIBITED ACTIVITIES
 
You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

  • Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site.
  • Use any information obtained from the Site in order to harass, abuse, or harm another person.
  • Make improper use of our support services or submit false reports of abuse or misconduct.
  • Use the Site in a manner inconsistent with any applicable laws or regulations.
  • Engage in unauthorized framing of or linking to the Site.
  • Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Site or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Site.
  • Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.

  • Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).
  • Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site.
  • Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Site to you.
  • Attempt to bypass any measures of the Site designed to prevent or restrict access to the Site, or any portion of the Site.
  • Copy or adapt the Site’s software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
  • Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site.
  • Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.
  • Use a buying agent or purchasing agent to make purchases on the Site.
  • Make any unauthorized use of the Site, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
  • Use the Site as part of any effort to compete with us or otherwise use the Site and/or the Content for any revenue-generating endeavor or commercial enterprise.
  • Use the Site to advertise or offer to sell goods and services.
  • Sell or otherwise transfer your profile.
  • Systematically retrieving data or content from your Site to create a collection or database without written permission from you. Trick, defraud, or mislead you or other users, especially in any attempt to learn sensitive account information such as user passwords. Circumvent, disable, or otherwise interfere with security-related features of your Site. This includes features that prevent/restrict the use of any content limits site usage. Disparage, tarnish, or otherwise harm, in our opinion, your company and/or your Site. Harass, abuse, or harm another person using any information obtained from your site. Use the support services improperly, or submit false reports of abuse or misconduct. Use your site inconsistently with any applicable laws or regulations. Framing or linking to your Site without authorization. Attempt to upload or transmit viruses, Trojan horses, or other materials (including excessive use of capital letters and spamming) that interferes with any party’s uninterrupted use of your Site and its features. Use scripts, data-mining, robots, or similar data gathering tools to send comments or messages. Delete the copyright or other proprietary rights notice from any content. Impersonate another user or person or use the username of another user. Upload any materials that actively or passively collects information or acts as a transmission mechanism (includes gifs, 1×1 pixels, web bugs, cookies, spyware, pcms, etc.) Interfere, disrupt, or create an undue burden on your Site, networks, or services. Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of your Site to you. Bypass measures of your Site designed to prevent/restrict access. Copy/adapt your Site’s software (includes Flash, PHP, HTML, JavaScript, or other code). Decipher, decompile, disassemble, or reverse engineer any of the software that makes up your Site. Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software. Use any automated system (spiders, robots, cheat utility, scraper, offline reader) to access the site, or launch any unauthorized script or software (Unless as a result of a standard search engine or internet browser usage). Use your site in an unauthorized way (collecting usernames, email addresses, of users for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses). Use your site in an effort to compete with you, or otherwise use your Site and/or the content Content for any revenue-generating endeavor or commercial enterprise.
 
 
 
6.USER GENERATED CONTRIBUTIONS

 

 
The Site may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Site, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, «Contributions»). Contributions may be viewable by other users of the Site and through third-party websites. As such, any Contributions you transmit may be treated as non-confidential and non-proprietary. When you create or make available any Contributions, you thereby represent and warrant that:

 

  • The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.
  • You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Site, and other users of the Site to use your Contributions in any manner contemplated by the Site and these Terms of Use.
  • You have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of your Contributions in any manner contemplated by the Site and these Terms of Use.
  • Your Contributions are not false, inaccurate, or misleading.
  • Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
  • Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by us).
  • Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
  • Your Contributions are not used to harass or threaten (in the legal sense of those terms) any other person and to promote violence against a specific person or class of people.
  • Your Contributions do not violate any applicable law, regulation, or rule.
  • Your Contributions do not violate the privacy or publicity rights of any third party.

any revenue generating endeavor, commercial enterprise, or other purpose for
which it is not designed or intended; (6) make the application available over a
network or other environment permitting access or use by multiple devices or
users at the same time; (7) use the application for creating a product,
service, or software that is, directly or indirectly, competitive with or in
any way a substitute for the application; (8) use the application to send
automated queries to any website or to send any unsolicited commercial e-mail;
or (9) use any proprietary information or any of our interfaces or our other
intellectual property in the design, development, manufacture, licensing, or
distribution of any applications, accessories, or devices for use with the

Apple and Android Devices

 

 
The following terms apply when you use a mobile application obtained from either the Apple Store or Google Play (each an “App Distributor”) to access the Site: (1) the license granted to you for our mobile application is limited to a non-transferable license to use the application on a device that utilizes the Apple iOS or Android operating systems, as applicable, and in accordance with the usage rules set forth in the applicable App Distributor’s terms of service; (2) we are responsible for providing any maintenance and support services with respect to the mobile application as specified in the terms and conditions of this mobile application license contained in these Terms of Use or as otherwise required under applicable law, and you acknowledge that each App Distributor has no obligation whatsoever to furnish any maintenance and support services with respect to the mobile application; (3) in the event of any failure of the mobile application to conform to any applicable warranty, you may notify the applicable App Distributor, and the App Distributor, in accordance with its terms and policies, may refund the purchase price, if any, paid for the mobile application, and to the maximum extent permitted by applicable law, the App Distributor will have no other warranty obligation whatsoever with respect to the mobile application; (4) you represent and warrant that (i) you are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a “terrorist supporting” country and (ii) you are not listed on any U.S. government list of prohibited or restricted parties; (5) you must comply with applicable third-party terms of agreement when using the mobile application, e.g., if you have a VoIP application, then you must not be in violation of their wireless data service agreement when using the mobile application; and (6) you acknowledge and agree that the App Distributors are third-party beneficiaries of the terms and conditions in this mobile application license contained in these Terms of Use, and that each App Distributor will have the right (and will be deemed to have accepted the right) to enforce the terms and conditions in this mobile application license contained in these Terms of Use against you as a third-party beneficiary thereof.

19.DISPUTE RESOLUTION
 
Informal Negotiations

 

 
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each «Dispute» and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

 

 
Binding Arbitration

 

 
 
Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the International Commercial Arbitration Court under the European Arbitration Chamber (Belgium, Brussels, Avenue Louise, 146) according to the Rules of this ICAC, which, as a result of referring to it, is considered as the part of this clause. The number of arbitrators shall be two (2). The seat, or legal place, of arbitration shall be Santiago, Chile. The language of the proceedings shall be Spanish. The governing law of the contract shall be the substantive law of Chile.
 

 

 
 
Restrictions

 

 
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

 

 
Exceptions to Informal Negotiations and Arbitration

 

 
The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

 

 
 
20.CORRECTIONS
 
There may be

23.INDEMNIFICATION
 
You agree to
defend, indemnify, and hold us harmless, including our subsidiaries,

A teacher cannot be hired by a current or past student that has payed Power English Spa in the past 12 months.

These Terms of Use and any policies or operating rules posted by us on the Site or in respect to the Site constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. These Terms of Use operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Use and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of Use or use of the Site. You agree that these Terms of Use will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms of Use and the lack of signing by the parties hereto to execute these Terms of Use.
 
 
The Parties declare that the provision of the services that are contracted by this act do not imply the existence of an employment relationship in the terms defined by the Labor Code. The previously agreed services will be provided by the Agent, without there being a link of subordination or any dependency, whether due to schedule, hierarchy or any other aspect of the employment relationship.
 
 
27. ASSISTANCE AND EXTRA HOURS FOR PRIVATE CLASSES
Power English will not pay for any extra hours done beyond the package paid by the student. It is the teacher’s responsibility to keep track of assistance in real time.
